Terms of Service – OnePixel (TreadOS World Private Limited)

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the OnePixel Platform provided by TreadOS World Private Limited ("OnePixel," "we," "us," or "our"), including our website, widget, applications, APIs, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity. If you do not agree, do not use the Services.

2. Definitions

  • "Customer" – the organization or individual subscribing to the Services.
  • "End User" or "Candidate" – an individual interacting with the OnePixel widget or platform in the context of a hiring process.
  • "Content" – all data, information, text, images, audio, video, documents, and other material provided or generated through the Services.
  • "Customer Data" – all data submitted by Customer or its End Users, including candidate data, application details, and related metadata.
  • "OnePixel Platform" – our software-as-a-service hiring intelligence layer, including the embedded widget, backend processing systems, and integrations.

3. Description of Services

OnePixel provides a one-line embed that activates an intelligent hiring layer on Customer's career pages, ATS, or other web properties. Services may include:

  • Real-time chat and engagement with candidates
  • Screening and scoring of candidates, including AI-based automated decision-making (if configured by Customer)
  • Collection and processing of candidate application data, documents, and optional audio/video
  • Integration with ATS, CRM, calendar, and other tools
  • Analytics on widget performance and candidate funnel

4. Eligibility

You must be at least 18 years old to use the Services. Customers must comply with all applicable employment, privacy, and data protection laws when using the Services.

5. Account Registration

Customers must register for an account to access the Services. You agree to provide accurate, current, and complete information during registration and to keep it updated.

6. Customer Responsibilities

Customers agree to:

  • Configure the Services in compliance with applicable laws, including employment and anti-discrimination laws
  • Provide legally compliant privacy notices to candidates and obtain any required consents
  • Not use the Services for unlawful, harmful, or discriminatory purposes
  • Be solely responsible for decisions made based on the Services' outputs, including hiring decisions

7. Candidate Data & Privacy

  • Candidate data may include personal information, application materials, and optionally audio/video recordings.
  • We process such data as a data processor on behalf of Customers and in accordance with our Privacy Policy and Data Processing Addendum (DPA).
  • Candidate data may be stored in multiple AWS data centers globally and processed using third-party sub-processors (including AWS, Google, and OpenAI).
  • Customers control the retention period; OnePixel will purge candidate audio/video as defined in the customer contract.

8. Automated Decision-Making

The Services may filter, prioritize, or reject candidates without human review if enabled by the Customer. Customers are responsible for ensuring such configurations comply with applicable laws and informing candidates of their rights.

9. Intellectual Property

  • OnePixel owns all rights, title, and interest in the OnePixel Platform, including all related software, code, designs, and documentation.
  • Customers retain ownership of all Customer Data and grant OnePixel a limited, worldwide, royalty-free license to process it solely to provide the Services.
  • No rights are granted except as expressly stated in these Terms.

10. Fees & Payment

  • Fees are set forth in the applicable Order Form or online subscription plan.
  • Billing currencies: USD for non-Indian customers, INR for Indian customers (plus applicable taxes).
  • Payments processed via Stripe, Razorpay, or other providers.
  • Fees are exclusive of taxes, which will be added where applicable.
  • All subscriptions auto-renew unless canceled in accordance with Section 14.

11. Confidentiality

Each party will protect the other's confidential information with the same degree of care it uses for its own, but at least reasonable care. Confidential information includes business plans, technical data, and non-public information.

12. Security

We implement appropriate technical and organizational measures to protect data, including encryption, access controls, and regular audits. Breach notifications will be made in accordance with applicable law.

13. Restrictions

You may not:

  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Services
  • Use the Services to develop a competing product
  • Circumvent usage limits or security features

14. Term & Termination

  • These Terms remain in effect until terminated.
  • Either party may terminate for material breach if not cured within 30 days of notice.
  • Customers may terminate by following the cancellation process in their account.
  • Upon termination, access to the Services ceases and we will delete Customer Data per the DPA and contract terms.

15. Warranties & Disclaimers

  • The Services are provided "as is" and "as available".
  • We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee any hiring outcome.

16. Limitation of Liability

To the maximum extent permitted by law:

  • OnePixel's total liability for any claim will not exceed the amounts paid by Customer in the 12 months preceding the claim.
  • We will not be liable for indirect, incidental, special, or consequential damages.

17. Indemnification

Customer will indemnify, defend, and hold harmless OnePixel from any claim arising from:

  • Customer's use of the Services in violation of law or these Terms
  • Employment law violations, including discriminatory hiring practices
  • Inaccuracies in Customer-provided data or instructions

18. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by the laws of India.

Arbitration: Any dispute will be resolved by binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules, seated in Bangalore, India, in English.

  • Arbitration will be before a single arbitrator mutually agreed by the parties.
  • Judgment on the award may be entered in any court of competent jurisdiction.

19. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to Customers via email or account notification. Continued use of the Services after changes means acceptance of the updated Terms.
